3. User Accounts and Registration

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must:

• Be responsible for all activities under your account

3.3 Account Termination

5. Intellectual Property Rights

5.2 Your Content

You retain ownership of any content you submit, post, or display through our services ("Your Content"). By submitting Your Content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and display Your Content solely for the purpose of providing and improving our services.

5.3 Work Product

For custom development projects, ownership of work product will be specified in separate project agreements or statements of work. Unless otherwise agreed in writing, all deliverables become the property of the client upon full payment.

6. Payment and Billing

6.1 Fees and Charges

You agree to pay all fees and charges associated with your use of our services as outlined in your service agreement or quote. All fees are in US Dollars unless otherwise specified and are non-refundable except as required by law or explicitly stated.

6.2 Payment Methods

We accept various payment methods including credit cards, bank transfers, and payment platforms. You authorize us to charge your provided payment method for all fees incurred.

6.3 Late Payments

Late payments may result in suspension of services and may incur late fees of 1.5% per month or the maximum allowed by law, whichever is less.

6.4 Taxes

Fees do not include applicable taxes. You are responsible for paying all taxes associated with your use of our services.

7. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or confidential information disclosed during the course of our business relationship. This obligation survives termination of these Terms.

Confidential information does not include information that: (a) is or becomes publicly available through no breach of these Terms, (b) was rightfully known prior to disclosure, (c) is independently developed, or (d) is rightfully obtained from third parties.

8. Warranties and Disclaimers

8.1 Service Warranty

We warrant that our services will be performed in a professional and workmanlike manner consistent with industry standards. For a period of 90 days after delivery, we will correct any defects in our work at no additional charge.

8.2 Disclaimer

EXCEPT AS EXPRESSLY PROVIDED IN THESE TERMS, OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.

We do not warrant that our services will be uninterrupted, error-free, or completely secure. We do not warrant the accuracy or completeness of any content or information provided through our services.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BCW TECHNOLOGY SOLUTIONS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, WHETHER IN AN ACTION IN CONTRACT, TORT, OR OTHERWISE, ARISING FROM YOUR ACCESS TO OR USE OF OUR SERVICES.

Our total liability for all claims related to our services shall not exceed the amount paid by you to us in the twelve (12) months preceding the claim, or $1,000, whichever is greater.

10. Indemnification

You agree to indemnify, defend, and hold harmless BCW Technology Solutions, its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of our services, (b) your violation of these Terms, (c) your violation of any rights of another party, or (d) your conduct in connection with our services.

11. Dispute Resolution

11.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions.

11.2 Arbitration

Any dispute arising out of or relating to these Terms or our services shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall take place in Santa Clara County, California.

11.3 Class Action Waiver

You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.

12. Termination

Either party may terminate these Terms or any service agreement upon written notice if the other party materially breaches these Terms and fails to cure such breach within thirty (30) days of receiving notice.

We may also terminate or suspend your access to our services immediately, without prior notice, if you violate these Terms or engage in conduct that we deem harmful to our services, other users, or third parties.

Upon termination, your right to use our services will immediately cease. Sections relating to intellectual property, confidentiality, disclaimers, limitation of liability, indemnification, and dispute resolution shall survive termination.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of material changes by posting the updated Terms on our website with a new "Last Updated" date. Your continued use of our services after changes are posted constitutes acceptance of the modified Terms. If you do not agree to the modified Terms, you must stop using our services.

14. General Provisions

14.1 Entire Agreement

These Terms, together with our Privacy Policy and any service agreements, constitute the entire agreement between you and BCW Technology Solutions regarding our services.

14.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

14.3 Waiver

No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term.

14.4 Assignment

You may not assign these Terms without our prior written consent. We may assign these Terms to any affiliate or successor entity.

14.5 Force Majeure

Neither party shall be liable for any failure or delay in performance due to circumstances beyond their reasonable control, including acts of God, natural disasters, terrorism, riots, or labor disputes.
